These Terms of Service ("Terms") govern your access to and use of the website at supermpower.com and the services provided by M-Power Solutions LLC ("M-Power Solutions," "we," "us," or "our"), which include payment processing, data services such as skip tracing, property data, and consumer data, and done for you prospecting (collectively, the "Services"). By accessing our website or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that you are using the Services for legitimate business purposes.

The Services

We provide real estate data and prospecting services. Our data services append and verify contact information on lists you provide or lists we build to your criteria. Our prospecting service is a managed program that identifies potential sellers, engages them on your behalf, qualifies interest, and delivers prospects to you. The specific scope, deliverables, and pricing of any engagement are described at the point of sale or in a separate agreement.

No Guarantee of Results

Our Services support your sales and marketing efforts, but we do not guarantee specific results, match rates, contact rates, appointments, deals, or revenue. Data services are billed based on results returned where stated, such as pay per hit pricing. Outcomes from prospecting depend on many factors outside our control, including your market, your offer, your follow up, and your sales process.

Your Responsibilities and Compliance

You are solely responsible for using the Services and any data we provide in compliance with all applicable laws and regulations. This includes, without limitation, the Telephone Consumer Protection Act, the Telemarketing Sales Rule, the National Do Not Call Registry rules, CAN-SPAM, the Fair Credit Reporting Act where applicable, and any state or local requirements that govern your outreach. You agree that:

• You will obtain any consents required for your outreach
• You will honor opt out and do not contact requests
• You will not use the Services or any data for harassment, stalking, fraud, or any unlawful purpose
• You will not use data provided for purposes governed by the Fair Credit Reporting Act, such as credit, employment, or insurance eligibility decisions, unless expressly permitted

The DNC and litigator screening we provide are tools to support your compliance, not a substitute for your own legal compliance program.

Orders, Payment, and Billing

Prices for the Services are described at the point of sale. Payment is due as specified for the applicable plan, whether pay as you go, subscription, or a committed term. Subscriptions renew automatically until canceled. Committed term plans carry the terms disclosed at signup. Except where required by law or expressly stated, fees are non-refundable.

Cancellation

Cancellation terms depend on your plan and are disclosed at the point of sale. Flexible plans may be canceled with the notice period stated for that plan. Committed term plans run for their full term as agreed. Subscription plans may be canceled and will remain active through the end of the current billing cycle.

Ownership of Data and Deliverables

As between you and us, data and prospects delivered to you as part of your paid engagement are yours to use, subject to your compliance obligations. We retain ownership of our systems, processes, methods, and any proprietary technology used to deliver the Services. You may not resell, sublicense, or redistribute our data services as your own without a separate written agreement.

Intellectual Property

The website, including its content, design, logos, and trademarks, is owned by or licensed to M-Power Solutions and protected by law. You may not copy, reproduce, or use our content or marks without our prior written permission.

Confidentiality

Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms. This obligation survives termination.

Disclaimers

The Services and website are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error free, or that all data will be accurate or complete.

Limitation of Liability

To the fullest extent permitted by law, M-Power Solutions and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Services. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us for the Services in the three months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless M-Power Solutions and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses, including reasonable attorney fees, arising out of your use of the Services, your data, or your violation of these Terms or any applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved through binding arbitration administered in Maryland, in accordance with the rules of a recognized arbitration body. You and we waive any right to a jury trial and agree that disputes will be resolved on an individual basis, not as part of a class action. Either party may seek injunctive relief in a court of competent jurisdiction in Maryland to protect its intellectual property or confidential information.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
